CompuGroup Medical Ends Talks with Agfa on Potential Deal

CompuGroup Medical SE (Koblenz, Germany), a provider of medical software and other products including X-ray machines, has ended discussions over its potential acquisition of Agfa-Gevaert (Mortsel, Belgium), which offers analogue and digital imaging systems and IT solutions for the healthcare sector.
In October this year, CompuGroup had approached Agfa with a non-binding indication of interest in a potential acquisition of all of its issued shares by way of a voluntary conditional public takeover offer. At that time, Agfa had stated that after evaluating CompuGroup’s expression of interest, it had decided to engage into a non-exclusive discussion with the Germany company.
Agfa’s medical IT products was expected to add to CompuGroup's range of software for doctors' offices, pharmacies and hospitals, with the combined company estimated to have annual sales of more than USD 3.3 billion.
However, in a statement released by CompuGroup and Agfa, both the companies have said that they had reached an understanding to stop pursuing further discussions about the contemplated public takeover bid, without providing any reason for calling off the talks.
